Terms of Service

These Terms of Service (“Terms”) govern your use of the Malvix Technologies website at malvix.io and the professional services we provide. Please read them carefully before engaging with us.
References to “Malvix Technologies”, “we”, “us”, or “our” mean Malvix Technologies, registered in Pakistan. References to “you” or “client” mean the individual or entity using our website or services.
1. Acceptance of Terms
By accessing our website, submitting an enquiry, or entering into a service agreement with Malvix Technologies, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
We reserve the right to modify these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
2. Services
Malvix Technologies provides custom software development, web and mobile application development, UI/UX design, MVP development, e-commerce development, DevOps, SEO, and AI/ML development services.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project proposal agreed to by both parties prior to the start of work.
We reserve the right to refuse service to anyone for any reason at any time.
3. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information, assets, and feedback required for the project
- Appoint a designated point of contact with authority to make decisions on your behalf
- Review and respond to deliverables, prototypes, and staging environments within agreed timeframes
- Ensure you have the right to use any content, images, trademarks, or other materials you provide to us
Delays caused by the client (late feedback, unavailability, scope changes) may result in revised timelines and additional costs, which will be communicated in advance.
4. Payment Terms
Payment terms are outlined in the project proposal or SOW. Unless otherwise agreed:
- Projects typically require a deposit of 30–50% before work begins
- Remaining payments are milestone-based or billed monthly for retainer agreements
- Invoices are due within 14 days of issuance
- Late payments may incur a 2% monthly interest charge on the overdue amount
We reserve the right to pause or suspend work on a project if invoices remain unpaid beyond their due date, without liability for resulting delays.
5. Intellectual Property
Your IP
Any content, data, trademarks, or materials you provide to us remain your property. You grant us a limited licence to use them solely for the purpose of delivering the agreed services.
Our IP
Any tools, frameworks, libraries, or methodologies we use that were developed prior to or independently of your project remain our property.
Deliverable Ownership
Upon receipt of full payment, all custom-developed code, designs, and other deliverables created specifically for your project are assigned to you. This transfer includes source files and associated assets. An IP assignment clause is included in our service agreements.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. We will not disclose your business information, technical architecture, or project details to third parties without your written consent, except as required by law.
We are happy to sign a mutual Non-Disclosure Agreement (NDA) before any discussions begin — simply request one when you contact us.
7. Warranties & Representations
We warrant that:
- We have the skills and experience to perform the services described
- Deliverables will materially conform to the agreed specifications
- We will not knowingly infringe third-party intellectual property rights
We provide a 30-day bug-fix warranty after project launch, covering defects in the delivered code that prevent it from functioning as specified. This warranty does not cover issues arising from third-party services, client modifications, or changes in the operating environment.
Beyond the above, our services are provided “as is” without warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Malvix Technologies shall not be liable for:
- Indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption)
- Damages arising from your use or inability to use our services or deliverables
- Issues caused by third-party services, platforms, or integrations outside our control
Our total liability for any claim arising out of or related to these terms or our services shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
9. Scope Changes
Any changes to the agreed project scope must be requested in writing and are subject to a Change Order. We will provide an updated timeline and cost estimate for the additional work. No out-of-scope work will begin without written approval from both parties.
10. Termination
Either party may terminate a project engagement with 14 days' written notice. Upon termination:
- You are responsible for payment of all work completed up to the termination date
- We will deliver all completed work and materials upon receipt of final payment
- Confidentiality obligations survive termination
We reserve the right to terminate immediately if you breach these terms, engage in fraudulent activity, or fail to make payment within 30 days of an overdue invoice.
11. Governing Law
These Terms of Service are governed by the laws of Pakistan. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.
For clients in other jurisdictions, we are open to alternative dispute resolution (ADR) or arbitration as a first step before litigation.
12. Website Use
You may use our website for lawful purposes only. You agree not to:
- Attempt to gain unauthorised access to our systems
- Transmit malware, spam, or harmful code
- Reproduce, redistribute, or scrape our website content without permission
